Do you have to replace this if there is a lightning strike?

We have not knowingly had a strike so cannot say. We have used about 20 of them for over 3 years with no problems or replacements.

is there an in and an out for the cabling?

no, both sides are the same, it protects all 4 pairs in any direction

Does this item need to be grounded to the earth for it to work? Can I plug it indoors in the loft instead of mounting it outdoors (I bought out one)

yes it needs grounding. yes you can put it indoors, I believe.
